A significant portion of Mr. Vargo’s practice is focused on business solutions and real estate. His real estate practice areas include representing buyers, sellers and developers of land and income producing property, including land being developed as residential or commercial projects; addressing environmental issues associated with land ownership or development; representation in land development including governmental approvals; title review; and negotiation of transaction documents, including contracts, leases, and development agreements. His extensive background is brought to bear on behalf of owners and developers in the planning, acquisition, financing, construction, leasing and management, and sale of office buildings, shopping centers, apartments, condominiums and multi-use projects. He routinely represents borrowers in the negotiation and documentation of sophisticated real estate financing arrangements.

In his business solutions practice, Mr. Vargo has represented a variety of businesses and business owners in connection with entity formation (including contribution of technology); mergers, acquisitions and dispositions; shareholder agreements; stock option, restricted stock and other equity compensation agreements; employment and consulting agreements; and similar matters.

Mr. Vargo has special experience in assisting technology companies in understanding and using their intellectual properties, ensuring that intellectual property is an integral element of their overall business strategy. This has included preparation and negotiation of license agreements, product development agreements, distribution and OEM agreements, and marketing and strategic alliance agreements.
